Your new role

Reporting directly to the Group Company Secretary, you will be responsible for the following:

  • Governance: Support the Group Company Secretary in implementing governance frameworks that uphold legal and regulatory compliance, while promoting collaboration between the board and executive leadership.
  • Regulatory Compliance: Manage corporate records, policies, and charters, ensuring full alignment with the requirements of ASIC, APRA, and relevant legislation.
  • Operational Oversight: Lead the coordination of core governance activities including Director Elections, the Annual General Meeting, and annual reporting, with a strong focus on clear stakeholder communication.
  • Board Administration: Direct the planning and delivery of Board and Committee meetings, ensuring smooth execution and effective information flow.

What you'll need to succeed

  • A Bachelor of Law (or similar) and qualifications from the Governance Institute of Australia and/or AICD.
  • Specialised experience and knowledge of the Corporations Act and APRA prudential standards is essential.
  • Demonstrated experience in a similar role working in a regulated environment
  • Previous experience practicing as a corporate or financial services lawyer
  • Proven experience in overseeing and maintaining Group governance structures, including charters and key governance documents.
  • Exposure to developing and implementing governance policies, processes and procedures.
